BYLAWS OF U.A.H.S.A.P.,LLC

The members of U.A.H.S.A.P.,LLC have adopted the following as the bylaws for the company:

§1. PURPOSES.

The purposes of U.A.H.S.A.P.,LLC (hereinafter "the company") are as follows:

1. To provide a free internet directory and related services to Algonac High School (hereinafter "AHS") Alumni known as "The Unofficial AHS Alumni Page" or "UAHSAP";

2. To raise money for the following purposes:

(a) To award a scholarship(s) to a graduating senior at AHS; (b) To award monies to AHS to support extra-curricular activities.

All decisions and actions taken by the company shall be made in good faith to achieve those purposes.

§2. MANAGEMENT.

The company shall be managed by its President. To achieve the goals of the company the President may from time to time appoint committee volunteers to assist in the various fund raisers. In no event are wages, bonuses, or other compensations to be paid to any member, officer or volunteer for their services. All positions in the company are to be on a volunteer basis and are to be held until resignation.

§3. SCHOLARSHIP AWARD AND EXTRA-CURRICULAR DONATION.

UAHSAP Scholarships will be awarded to a graduating senior based upon the following criteria: The recipient must have a) at least a 3.0 g.p.a. and b) have demonstrated a high level of community service and class spirit. The number and amount of the scholarships will vary depending on the success of the company and will be awarded in such amounts and times as decided by the President in his sole discretion without limitation.

UAHSAP donations to AHS to support extra-curricular activities will also be made depending on the success of the company at times and in such amounts as the President decides in his sole discretion without limitation.

§4. ACCOUNTING AND FINANCE.

The company shall keep accurate and complete accounting records.

The company is to maintain an operating account with a balance of no more than $500. The funds in this account may be used to cover all reasonable company expenses and overhead including but not limited to the securing of licenses and permits as may be required from time to time and to cover overhead for the various fund raisers sponsored by the company.

All net revenues above expenses and the operating account shall be placed immediately into an interest bearing bank account from which monies may be dispersed only for one or both of the purposes found in §1(2)(a)or(b). The interest bearing account is not intended to be a trust account. Algonac High School, its administrators or staff do not have the authority to command disbursements from the account nor to demand a formal accounting. Asside from any assistance in fund-raising efforts, the company is to be independent of Algonac High School, its administrators and staff.

To ensure the integrity of the organization, the company shall have a "sunshine" policy such that the accounting records are made available to the public. The president shall prepare and sign a quarterly statement detailing the revenues and expenses of the company during the quarter. Such quarterly statement shall be prepared no later than on the 15th day following the end of each quarter. No later than January 15th the President shall have prepared and signed an annual statement detailing the revenues and expenses of the following year. Each of the quarterly statements and the annual statement shall be made available to the public.

§5. OFFICERS.

The company shall have a President, Secretary and Treasurer. One individual may serve in more than one capacity.

§6. MEMBERSHIP IN THE COMPANY.

Membership in the company is restricted to it's officers (President, Secretary and Treasurer). New members may only be added to the company with the unanimous consent and vote of the current members. Membership in the company may not be transferred or assigned.

§7. AMENDMENT.

These bylaws may be amended by a unanimous vote of the members of the company.

§8. WINDING UP AND DISSOLUTION.

Upon dissolution and winding up of the company all company assets are to be disbursed to Algonac High School to be earmarked for use to support extra-curricular activities at the High School.

§9. HEADINGS.

The headings of these bylaws are intended for convenience only and shall not be used to construe the meaning of any provision.
